SubzBid

LEGAL · VERSION 1.2

Terms of Service

Version: 1.2
Effective date: September 27, 2026

1. Agreement and eligibility

These Terms govern access to SubzBid's website, application, and related services (the “Service”) provided by SubbaSubba Enterprises, LLC, a limited liability company doing business as SubzBid (“SubzBid,” “we,” or “us”). “Customer” means the business accepting these Terms, and “you” includes Customer and its authorized users, as applicable.

By affirmatively accepting these Terms, you agree to them. If you accept for a business, you represent that you have authority to bind it. Users must be at least 18 and use the Service for business purposes. A person without authority may not create or administer an account on another business's behalf.

A separately accepted order identifies any paid subscription and its commercial terms. An order controls a conflict only for the subject it expressly addresses. A separately signed data processing agreement controls conflicting provisions concerning its covered processing.

2. What SubzBid provides

SubzBid helps construction businesses discover and review projects, analyze project information, organize trade requirements and source references, manage bid workflows, and prepare proposals. Available capabilities depend on your plan, enabled features, and authorized project sources. An integration request does not mean an integration is connected or that source access has been granted.

“Source Materials” means third-party plans, drawings, specifications, addenda, project listings, contact directories, and other source content made available through the Service. “Customer Content” means material you submit or connect, including your annotations, estimates, prices, and proposals; third-party material within it remains subject to its owner's rights. “Generated Results” means summaries, extracted requirements, trade cards, suggested answers, and other machine-assisted results. “SubzBid Materials” means our software, interface, templates, and original organization or presentation of content, excluding Customer Content and third-party rights.

We provide decision-support software. We do not act as your architect, engineer, estimator of record, construction manager, attorney, or bid-submission agent. No project award, complete scope identification, or particular business result is promised.

3. Accounts and organization access

Each user must use an individual account and protect their credentials. Customer manages authorized users and promptly removes access when no longer appropriate. Notify us promptly of suspected unauthorized access at accounts@subzbid.com. Customer is responsible for its users' compliance and actions it authorizes, but this does not excuse our own breach of these Terms.

Access is limited to the company, offices, users, projects, and source entitlements we authorize. A shared company name, parent-company relationship, or job title does not grant access to another workspace. Additional offices, affiliates, consultants, or seats require the applicable authorization. Do not lend credentials, resell seats, or allow others to use your account.

4. Customer authorization and source rights

4.1 Your permitted bid preparation

You appoint SubzBid as your service provider and limited agent to assist with your authorized project evaluation and bid preparation. This appointment covers the document-processing activities described below, performed at your direction and for your benefit. It does not authorize us to submit bids, enter contracts, accept source agreements in your name, or otherwise bind you.

Your instructions may include uploading documents, designating projects or sources, or enabling ongoing project monitoring and processing within criteria you select or approve. Within those instructions and your applicable rights, you authorize us to acquire, download, store, reproduce, index, search, extract, analyze, and summarize Source Materials; identify changes and requirements; and display relevant documents, citations, and results to your authorized users. We may perform these activities using automated tools and the service providers described in Section 7.

4.2 Basis of your authorization

You represent that you are entitled to access and use the designated materials for the requested purpose, including through assistance permitted under your source rights. Your entitlement may arise from a paid membership, project invitation, owner authorization, license, or other lawful basis. You need not own the copyright in every document you ask us to process.

You must maintain any membership or authorization required for the relevant projects, offices, and users and promptly notify us of a material change. We may request reasonable evidence of entitlement and limit processing while it is unresolved. Another customer's membership does not establish your entitlement. Our own source access does not expand yours unless we separately have authority to provide the relevant access to you.

4.3 Scope and limits

The appointment in this section authorizes assistance in exercising rights you already possess; it does not transfer your source membership to us or grant us an independent right to exploit the material. We will process within your instructions and applicable permissions. If applicable source terms prohibit a requested activity or require additional consent for it, we will not perform that activity without the required authorization. Neither party may use this appointment to bypass access controls or applicable source restrictions.

Source Materials remain owned by their respective rights holders. SubzBid does not claim their copyright or represent that a source provider sponsors or endorses the Service. A download feature or inclusion of material in a Generated Result does not create additional distribution rights.

We may restrict affected material when an entitlement expires, continued access is no longer authorized, or a credible rights dispute requires review. We will give notice when lawful and reasonably practicable. Termination and refund rights remain governed by Section 12.

5. Permitted use and project collaboration

You may use the Service within your authorized scope to evaluate projects, prepare estimates, obtain project-specific quotations, develop scopes and exclusions, and prepare and submit your business's bids and proposals. You may view, annotate, print, and export material using enabled features within applicable source permissions.

You may freely use and share your own prices, qualifications, exclusions, and independently created bid work. You may incorporate project facts and your own conclusions into that work, subject to applicable confidentiality and contractual restrictions. Our ownership of the platform does not give us ownership of your business decisions or of facts merely because the Service identifies them.

When a bid, quote request, or other project communication includes protected Source Materials or protected portions of Generated Results or SubzBid Materials, you may share the portions reasonably needed for that project's bidding with intended recipients only as permitted by the applicable source rights. Preserve required attribution and confidentiality notices. Confirm any recipient authorization the source requires, explain applicable limits on further use, and obtain any confidentiality or use undertaking the source requires. We do not require a new recipient agreement for every ordinary bid communication unless applicable restrictions require one.

This project collaboration allowance does not provide general Service access, an ongoing document feed, or permission to distribute a reusable source library. Forwarding a complete plan set is permitted only where applicable source rights authorize that delivery. Work on an awarded project remains subject to the rights and contract documents applicable to that project; these Terms do not independently grant construction-use rights.

6. Prohibited redistribution and misuse

Except as expressly authorized in writing by us and any necessary rights holder, you may not:

These restrictions apply across formats, including screenshots, excerpts, exports, structured data, and outputs reproducing protected content. They do not assert ownership of public-domain material, independently obtained facts, or your original business work, or limit rights that applicable law does not permit a contract to restrict.

7. Processing, Customer Content, and Generated Results

You retain your rights in Customer Content. For material you own or may license, you grant us a limited, nonexclusive license to host, reproduce, parse, analyze, and display it to provide, secure, maintain, and support your Service, comply with law, and carry out your instructions. For third-party materials, we rely only on applicable source rights, lawful authority, and the limited appointment in Section 4. This agreement does not presume that you own those materials or can grant broader rights than you hold.

You authorize us to engage hosting, document-processing, and AI service providers as reasonably needed to perform those activities on your behalf. We will limit their access and use to the authorized service purpose, require appropriate confidentiality, security, and data-use obligations, and remain responsible for their performance of our obligations under these Terms. If a source restricts disclosure to such providers, that restriction applies to the affected processing.

We will not sell your nonpublic prices, estimates, proposals, or annotations or make them available to other customers. SubzBid does not operate a general-purpose AI model-training program using Customer Content or Source Materials. We use third-party AI services to provide analysis; their processing, retention, and any model-improvement use depend on the applicable provider terms, account type, and settings. We do not currently warrant that every provider processing path excludes model-improvement use. Our Privacy Policy explains this limitation. Nothing in this paragraph grants us or a provider rights beyond your instructions and applicable source permissions. Indexing, extraction, and retrieval used to produce your authorized project results are part of providing the Service, subject to applicable source rights.

We will not use your limited appointment to supply another customer with Source Materials or protected results that customer is not independently entitled to receive. Shared storage, caching, or reusable processing does not create permission for cross-customer access or reuse. Any such arrangement must be supported by the rights applicable to the acquisition, processing, retention, and each recipient's use; your private bid work remains confidential.

As between you and SubzBid, you retain your original bid work, and we assign to you any rights we hold in Generated Results created exclusively for you from your nonpublic Customer Content. That assignment excludes Source Materials, SubzBid Materials, and underlying reusable methods and templates. For other Generated Results made available to you, we grant permission to use them for the purposes in Section 5, including in your bids, subject to applicable source restrictions. We do not promise exclusive rights in common project information or that machine-generated results are unique or eligible for copyright protection.

8. Verification and bidding responsibility

Generated Results may omit requirements, misread drawings, misunderstand scope, cite the wrong passage, or reflect an outdated package. A citation, confidence indicator, or review status is an aid to checking a result, not a certification of completeness or professional approval.

Before relying on information, verify the official project documents and applicable revisions, addenda, deadlines, time zones, quantities, scope boundaries, alternates, exclusions, qualifications, and submission instructions. An absent result does not mean a requirement is absent. The contract documents and their stated order of precedence govern the project; our summaries do not change them.

You make and approve your own bid and construction decisions. Unless a separate agreement expressly provides otherwise, you remain responsible for submitting bids, acknowledging addenda, monitoring official updates, and confirming receipt. Notifications may be delayed or unavailable and are not your sole method of tracking a deadline.

9. Confidentiality and privacy

Each party will protect the other's nonpublic information with reasonable care and use it only to perform this agreement or exercise rights under it. Access must be limited to people and service providers with a need to know and appropriate confidentiality obligations. Customer's nonpublic prices, estimates, proposals, and internal annotations are confidential information.

These duties exclude information the receiving party can demonstrate was already lawfully known, independently developed, lawfully received without restriction, or public without breach. Legally compelled disclosure is permitted, with advance notice where lawful and reasonable efforts to limit disclosure. Confidentiality continues for three years after termination, and for trade secrets as long as they remain trade secrets under applicable law. Personal-data obligations continue as required by law and any applicable data processing agreement.

Our Privacy Policy at https://www.subzbid.com/privacy explains personal-information handling. Customer must have a lawful basis to provide personal information and must give required notices. We will maintain reasonable safeguards appropriate to the Service; no specific security certification or service level is promised unless separately agreed.

10. Integrations and communications

Third-party services have their own terms and availability. A connection or source acquisition requires your authorization through the applicable connection or provisioning process and must stay within Section 4. An onboarding preference alone does not authorize account access or document acquisition. We do not guarantee that any third-party service will remain available or compatible.

We may send account, security, and service notices through appropriate account channels. Accepting these Terms does not constitute consent to marketing texts or emails. Marketing choices are separate, optional, and may be withdrawn through the applicable unsubscribe or preference mechanism. Text-message programs, if offered, require any separately applicable consent and disclosures.

11. Trials, paid service, and cancellation

Unless a separately accepted offer states otherwise, an eligible new workspace receives a 14-day free trial beginning at verified workspace activation. No credit card is required. Inviting teammates does not restart or extend the trial. Trial expiration does not automatically create a paid subscription or charge.

Trial features and usage limits are those disclosed in the trial offer. We may require account or contact verification to protect the Service and prevent repeated trial claims. Trial access to third-party project sources remains subject to the authorization and availability requirements in these Terms; starting a trial does not itself connect a source or guarantee that projects will be available.

Paid service requires an affirmative agreement specifying fees, subscription term, authorized offices and users, usage limits, payment schedule, and any renewal terms. No automatic renewal applies unless expressly agreed. A payment installment schedule does not shorten a subscription commitment stated in that agreement.

You are responsible for agreed fees and applicable transaction taxes, excluding taxes on our net income. We will not increase fees during a committed term without your agreement. Renewal price changes require at least 30 days' advance notice and an opportunity to decline renewal.

You may give cancellation or nonrenewal notice through any offered account control or at billing@subzbid.com. Cancellation takes effect at the end of the current paid term unless these Terms or your order provide earlier termination. Committed fees remain payable and are nonrefundable except as expressly provided here, in your order, or by applicable law.

12. Suspension, termination, and retained work

We may promptly restrict access reasonably necessary to address unauthorized redistribution, a security threat, unlawful activity, loss of source permission, or a material risk to others. We will explain the reason and opportunity to resolve it when lawful and practicable, and limit the restriction to affected access where feasible. For ordinary nonpayment, we will give at least 10 days' notice and an opportunity to cure before suspension.

Either party may terminate for a material breach the other fails to cure within 30 days after written notice. Immediate termination is permitted for a material breach that cannot reasonably be cured. We may discontinue paid service for convenience on at least 30 days' notice. If we terminate for convenience, or you terminate for our uncured material breach, we will refund prepaid fees for the unused period. If source loss materially removes an expressly purchased capability and we cannot restore or reasonably replace it within 30 days after notice, you may terminate the affected service and receive the same proportional refund.

Service access ends on termination or expiration. Within 30 days afterward, you may request an export of your eligible customer-created work by contacting support@subzbid.com. We will provide it in a reasonably available format after verifying authority, except where prohibited by law or necessary to protect others. Export does not include material whose source rights prohibit it and does not require renewed application access.

You may retain your own work and lawfully permitted project records, subject to confidentiality and source restrictions. Stop using and delete protected copies for which permission has ended, except copies you must lawfully preserve; restrict those copies to the permitted preservation purpose. We may retain information required for legal obligations, disputes, security, and routine backups under our disclosed retention practices, with continuing protections and no new commercial use. We do not promise indefinite storage or continuing access to third-party document archives.

Sections concerning ownership, restricted redistribution, confidentiality, accrued payments, retained records, risk allocation, and disputes survive to the extent needed to give them effect.

13. Rights complaints

Send suspected copyright infringement or unauthorized distribution reports to copyright@subzbid.com, identifying the material, its location, your rights or authority, the concern, and your contact information. We may disable disputed material while reviewing a credible complaint and may suspend or terminate repeat infringers in appropriate circumstances. Any applicable statutory notice and counter-notice process will be handled as required by law. A report is not by itself a final determination of ownership or infringement.

14. Warranties and disclaimers

We will provide the Service with reasonable care and skill. Except for that commitment or an express commitment in a signed agreement, the Service, Source Materials, and Generated Results are provided “as is” and “as available,” to the maximum extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement, without limiting Section 16.

We do not warrant uninterrupted operation, complete project coverage, error-free analysis, source availability, or successful bids. Nothing here excludes a warranty or remedy that applicable law prohibits us from excluding.

15. Liability limits

To the extent permitted by law, neither party is liable under or relating to this agreement for indirect, special, incidental, consequential, or punitive damages, or lost profits, revenue, business opportunities, or goodwill, regardless of legal theory and even if advised of the possibility.

Each party's total aggregate liability arising from or relating to this agreement will not exceed the greater of (a) fees paid or payable by Customer for the Service during the 12 months immediately preceding the first event giving rise to the claim, or (b) US $100.

Neither the damages exclusion nor the aggregate cap applies to fraud, willful misconduct, gross negligence, infringement or misappropriation of the other party's intellectual property, Customer's unauthorized redistribution in breach of Section 6, obligations under Section 16, or liability that cannot lawfully be limited. Customer's duty to pay agreed Service fees is not reduced by this section. These limits otherwise apply to confidentiality and data-related claims, subject to mandatory law and any signed agreement expressly providing different limits.

16. Third-party claims

Customer will defend SubzBid against third-party claims arising from Customer's breach of its entitlement representations in Section 4.2, Customer Content that Customer lacked authority to provide, Customer's unauthorized redistribution, or Customer's unlawful instructions or use of the Service, and pay resulting damages and reasonable settlement amounts. This obligation does not apply to the extent a claim results from SubzBid's breach, acquisition or processing beyond Customer's instructions or applicable rights, independent distribution, or misconduct. The fact that Customer does not own the underlying plans does not, by itself, trigger this obligation.

SubzBid will defend Customer against a third-party claim that our own platform software, used as authorized, infringes a U.S. copyright or patent, and pay resulting damages and reasonable settlement amounts. This obligation excludes claims arising from Source Materials, Customer Content, Generated Results, unauthorized modifications, or combinations not supplied or required by us, to the extent those items cause the claim. We may secure continued use, modify or replace the affected software without materially reducing the purchased function, or terminate the affected service and refund unused prepaid fees if the other options are not reasonably available.

The protected party must promptly notify the defending party, provide reasonable cooperation at the defending party's expense, and allow it to control the defense with qualified counsel. Delayed notice excuses obligations only to the extent it materially prejudices the defense. No settlement may admit fault by, impose nonmonetary obligations on, or fail to release the protected party without its written consent, not unreasonably withheld.

17. Changes to these Terms

We may revise these Terms and will identify the version and effective date. Material changes require at least 30 days' notice through email or a prominent account notice, except changes needed sooner for law or urgent security reasons. We will seek renewed affirmative acceptance where required by law or the nature of the change. Revisions will not retroactively govern an existing dispute.

If you object to a materially adverse change, notify us before it takes effect. For a prepaid committed term, we will either keep the prior terms for the remainder of that term or allow termination with a refund of unused prepaid fees. Continued use after the stated effective date constitutes acceptance only where legally sufficient.

18. Governing law and disputes

The laws of Texas, excluding its conflict-of-laws rules, govern these Terms, subject to mandatory applicable law. The parties consent to exclusive jurisdiction in the state courts located in Collin County, Texas, and, for federal proceedings, the United States District Court for the Eastern District of Texas, Sherman Division.

Before filing a claim, each party will send written notice describing the dispute and attempt in good faith to resolve it for 30 days. This does not prevent urgent protective relief, a filing needed to preserve a legal deadline, or a legally required procedure. Each party bears its own legal fees except as applicable law or Section 16 provides.

19. General provisions and contact

Neither party is responsible for delays caused by events beyond its reasonable control, provided it takes reasonable steps to limit their effects. This does not excuse accrued payment duties or eliminate express termination and refund rights.

Neither party may assign this agreement without the other's consent, except to a successor in a merger or sale of substantially all relevant assets that assumes the obligations and can lawfully perform them. An assignment does not expand third-party source permissions. The parties are independent contractors, subject to the limited agency expressly established in Section 4 for authorized document processing. That appointment creates no general authority to bind Customer and no partnership, employment relationship, or joint venture.

If a provision is unenforceable, the remainder continues in effect to the extent lawful. A failure to enforce a provision is not a continuing waiver. These Terms and any applicable accepted order or signed agreement constitute the parties' agreement on their subject matter; Customer purchase-order boilerplate does not amend it.

Legal notices must be sent to the designated contact below or, for Customer, its account notice email. Each party must keep its contact information current. Notices take effect on confirmed delivery; an email delivery failure requires another reasonable delivery method.
